We provide extensive corporate advisory services, ranging from the formation and maintenance of all types of companies—including publicly traded companies—to the conduct of shareholder meetings and general meetings, the amendment of articles of incorporation and bylaws, and the dissolution and liquidation of companies. We assist in the structuring and implementation of corporate transactions and reorganizations, together with our tax practice, actively supporting our clients in their design and negotiation. We draft and negotiate partnership or shareholder agreements, advising our clients on the discussion, development, and implementation of corporate governance practices. We conduct and monitor audits to confirm the compliance of corporate acts and books and identify pending issues to be resolved, whether through the opening and updating of books or the updating of corporate and partner registrations with the relevant authorities. We have experience advising foreign investors on structuring new businesses in Brazil, including the registration of foreign investments with the applicable authorities. We also prepare legal opinions on corporate matters, respond to various inquiries of this nature, and participate in our clients’ Corporate Committees.
